About DilutionScan

DilutionScan is dilution research for US-listed small-cap stocks, read directly from SEC filings. For every company we cover it lists the warrants, convertible notes, preferred stock, ATM programs, equity lines, shelf registrations, S-1 offerings and completed offerings that could add shares, and each figure is cited to the filing it came from.

What we cover

DilutionScan currently covers 1,865 companies. Every one is listed in the ticker index and the screener.

Coverage focuses on US-listed small caps that file with the SEC, including foreign issuers that file annual reports on Form 20-F or 40-F. A company we have not analysed yet says so on its page; it is never shown as having no dilution.

Who it is for

Traders and investors in small caps who want to know, before they trade, whether a company can sell new shares, how many could come to market, and at what prices. The answers are in the filings, spread across prospectuses, current reports and quarterly reports; DilutionScan puts them on one page and links each figure back to its source.

How it works

We read each company's SEC filings, extract every instrument that can create new shares, put share counts on one split-adjusted basis, and run automated consistency checks before anything is published. Figures we could not measure are shown as "Not measured", never as zero. The full process, including its limits, is on the methodology page.
